Terms and conditions

These terms set out the basis of business relationships with Mystique Bio. Mandatory consumer rights and any other rules that cannot legally be excluded always continue to apply.

1. Scope and definitions

These terms apply to business quotations, orders, agreements, and deliveries by Mystique Bio. “We” means Mystique Bio and “you” means the customer or client. A variation applies only when confirmed in writing.

2. Quotations and agreements

Quotations are non-binding unless expressly stated otherwise. An agreement begins when we confirm an order in writing or start performance. We may correct obvious errors, incorrect prices, or unavailable stock before delivery; you may then cancel the affected order without charge.

3. Product information and proper use

Images, descriptions, and advice provide general information. The product label, safety information, and any written agreed specification take priority. You must assess suitability and legality for your application and follow all use and safety instructions.

4. Prices and payment

Prices are stated in the agreed currency and exclude VAT, shipping, duties, and other charges unless indicated otherwise. Invoices are payable within the stated period. Statutory interest and reasonable recovery costs may apply to overdue amounts.

5. Delivery, risk, and inspection

Delivery dates are estimates unless expressly agreed as binding. Partial delivery is permitted. Risk passes on delivery to you or your nominated carrier where the law allows. Inspect promptly and report visible damage, shortages, or non-conformity with sufficient evidence.

6. Cancellation, returns, and warranty

Business cancellations and returns require prior written approval unless mandatory law provides otherwise. Any additional warranty covers proven material or manufacturing defects and does not restrict statutory rights. Damage caused by incorrect use, storage, dosage, alteration, or processing is excluded from an additional warranty.

7. Liability

To the extent permitted by law, our liability is limited to direct loss caused by an attributable failure and to the invoice value of the relevant delivery or the amount paid by our insurer. Indirect loss, lost profit, and business interruption are excluded. Nothing limits liability for intent, deliberate recklessness, or where mandatory law prevents limitation.

8. Force majeure

We may suspend performance for events outside our reasonable control, including transport disruption, system or energy failure, government measures, natural disasters, widespread illness, or supplier shortages. If the event continues for an unreasonable period, either party may end the unperformed part without damages.

9. Retention of title and intellectual property

Goods remain our property until all amounts due for them are paid, where permitted. Trade marks, designs, text, imagery, schedules, and other materials remain the property of Mystique Bio or its licensors and may not be reused commercially without written permission.

10. Suspension and termination

We may suspend delivery or end an agreement when payment or another material obligation remains unfulfilled after a reasonable opportunity to remedy, or when insolvency makes performance reasonably uncertain. Work and goods already supplied remain payable.

11. Law, disputes, and severability

The applicable law and competent court are determined by mandatory legal rules and, where permitted, any written agreement between the parties. The parties will first try to resolve a dispute through discussion. If one provision is invalid, the remaining provisions continue to apply.
